Please read these Terms of Service carefully before using BaseCode. By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

If you do not agree to these terms, you must not access or use our services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BaseCode AI ("BaseCode," "Company," "we," "us," or "our") regarding your use of our code generation platform and related services (collectively, the "Service").

By accessing, browsing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our platform. Continued use after such modifications constitutes acceptance of the new Terms.

2. Service Description

BaseCode provides an AI-assisted and manual code generation platform that helps developers create custom project templates and boilerplates. Our Service includes:

  • AI-powered project template generation
  • Manual technology stack selection tools
  • Pre-configured development environments
  • Code templates and boilerplates
  • Project management and history features
  • Documentation and setup guides

Important: BaseCode assists with technology selection and project setup. The generated templates are starting points that require your development expertise to create production-ready applications.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

  • You must be at least 18 years old or the age of majority in your jurisdiction
  • You must have legal capacity to enter into binding contracts
  • You must not be prohibited from using our services under applicable laws
  • You must provide accurate and complete registration information

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, including for violations of these Terms or applicable laws.

4. Subscription Plans and Fair Use Policy

4.1 Subscription Tiers

We offer subscription-based access to our Service with different feature sets and usage limits as described on our pricing page.

  • All subscriptions are billed monthly in advance
  • Subscription fees are non-refundable except as required by law
  • You may cancel your subscription at any time
  • Service access continues until the end of your billing period after cancellation

4.2 Fair Use Policy for Unlimited Plans

Unlimited subscriptions are subject to our Fair Use Policy:

  • Reasonable Use: Unlimited plans are intended for individual developers and small teams with normal usage patterns
  • No Commercial Resale: You may not resell, redistribute, or provide commercial access to our Service
  • No Automated Abuse: Bulk automated requests, scraping, or system abuse is prohibited
  • Resource Protection: We monitor usage to ensure fair access for all users
  • Usage Limits: We may impose temporary limits during high-demand periods

Enforcement: We reserve the right to limit, suspend, or terminate accounts that violate this Fair Use Policy without notice or refund. Usage patterns are monitored continuously.

5. Acceptable Use Policy

You agree not to use our Service for any unlawful purpose or in any way that could harm our Service or other users:

5.1 Prohibited Activities

  • Illegal or fraudulent activities
  • Harassment or abuse of others
  • Spam or unsolicited communications
  • Malware or security vulnerabilities
  • Intellectual property infringement
  • Reverse engineering our platform

5.2 System Integrity

  • No attempts to breach security
  • No interference with service operation
  • No unauthorized access attempts
  • No excessive resource consumption
  • No automated scraping or harvesting
  • No circumvention of usage limits

Violations may result in immediate account suspension or termination without notice or refund.

6. Account Limitation and Termination Rights

Our Rights to Limit or Terminate Accounts

We reserve the absolute right to limit, suspend, or terminate any account at any time, for any reason, with or without notice, including but not limited to:

  • Violation of these Terms of Service or our Fair Use Policy
  • Suspected fraudulent, abusive, or illegal activity
  • Excessive resource usage that impacts service quality for other users
  • Failure to pay subscription fees when due
  • Risk to the security or integrity of our platform
  • Legal requirements or law enforcement requests
  • Business reasons, including discontinuation of service
  • At our sole discretion for any other reason

No Refunds: Account limitations or terminations do not entitle you to refunds of any fees paid. We are not liable for any losses resulting from account actions.

6.1 Your Termination Rights

You may terminate your account at any time by canceling your subscription through your account settings or contacting our support team. Termination does not relieve you of obligations incurred prior to termination.

6.2 Effect of Termination

Upon termination, your access to the Service will cease immediately. We may delete your data after a reasonable period, but are under no obligation to retain any user data post-termination.

7. Intellectual Property Rights

7.1 Our Intellectual Property

BaseCode owns all rights, title, and interest in and to the Service, including all intellectual property rights. This includes but is not limited to:

  • Software, code, and algorithms
  • User interface and design elements
  • Templates and boilerplate structures
  • Trademarks, logos, and branding
  • Documentation and content

7.2 Generated Code and Templates

Code templates and boilerplates generated through our Service are provided for your use, subject to these Terms:

  • You may use generated code in your projects
  • You may modify and distribute generated code
  • Generated code may include third-party open source components with their own licenses
  • You are responsible for compliance with all applicable licenses
  • We make no warranties about generated code quality or functionality

7.3 User Content

You retain ownership of any content you submit to our Service. By using our Service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and process your content solely to provide and improve our Service.

8. Disclaimers and Limitations of Liability

SERVICE PROVIDED "AS IS"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
  • ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SECURITY OR ABSENCE OF VIRUSES OR OTHER HARMFUL COMPONENTS

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASECODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, DATA, OR USE
  • BUSINESS INTERRUPTION
  • COST OF SUBSTITUTE SERVICES
  • ANY DAMAGES ARISING FROM USE OF THE SERVICE

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless BaseCode, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit or generate using our Service
  • Your negligent or wrongful conduct

This indemnification obligation survives termination of these Terms and your use of the Service.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

10.2 Dispute Resolution

  • Mandatory Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association.
  • Class Action Waiver: You waive any right to participate in class-action lawsuits or class-wide arbitrations against BaseCode.
  • Jurisdiction: Any legal proceedings must be brought in the federal or state courts located in San Francisco, California.

11. General Provisions

11.1 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.

11.2 Entire Agreement

These Terms constitute the entire agreement between you and BaseCode regarding the Service.

11.3 Assignment

You may not assign these Terms. BaseCode may assign these Terms without restriction.

11.4 Waiver

Failure to enforce any provision does not constitute a waiver of our rights to enforce it later.
